1. TERMS and conditions for Professor Bubbleworks

These are the terms and conditions on which we supply products to you, whether these are goods or services.
Please read these terms carefully before you submit your order to us. These terms tell you who we are, how we will provide our products to you, how you and we may change or end the contract, what to do if there is a problem and other important information. If you think that there is a mistake in these terms or require any changes, please contact us to discuss.

2. ABOUT US AND HOW TO CONTACT US

We are Professor Bubbleworks part of Instilling Inspiration (also referred to as Teamii) a company registered in England and Wales. Our company registration number is 11297655 and our registered office is at 86-90 Paul Street, London, England, EC2A 4NE. Our registered VAT number is 307603328.

We provide science entertainment services to schools, individuals or any other organisation at any party, social gathering, event or celebration taking place at your school, home or your chosen venue (the Services). In addition, we also provide (if required) science party bags as part of our Service.

When we use the words “writing” or “written” in these terms, this includes emails.

3. Your booking

Your booking for Professor Bubbleworks’ services must be confirmed in writing (either by post, or email).

Your written confirmation indicates that you accept our quote, the details of the services that we are to provide and the timescale to which we will work. These are detailed separately in an email/letter or booking form that will be sent to you prior to your order.

Your confirmation also indicates that you accept the terms and conditions laid out below and agree that you are entering into a contract with Professor Bubbleworks to provide goods and services in association with its parent company Instilling Inspiration ltd. From time to time, invoicing may be processed through the parent company for offerings provided by Professor Bubbleworks.

4. Contract Period

The contract shall commence from the date of your order confirmation and shall terminate on the delivery of the product ordered, unless agreed by both parties in writing.
Events (e.g. workshops or shows)

  • It is the event organiser’s responsibility to ensure that a suitable venue is chosen for Professor Bubbleworks to deliver its shows or workshops.
  • The event venue should be suitable for the number of people attending and should satisfy both local authority and national health and safety guidelines
  • Professor Bubbleworks should be briefed on any evacuation or emergency procedures prior to the event taking place
  • A member of event staff should attend all performances and should be fully briefed on any evacuation or emergency procedures. It is their responsibility to respond to any evacuation or emergencies that occur during the event.
  • If at any time Professor Bubbleworks feels the audience’s health and safety is at risk, the event will be stopped until the problem is resolved.

5. School Events

Along with the general event terms listed above, schools hosting events or venues hosting events attended by schools should also ensure the following are adhered to:

  • Pupils attending the event should be accompanied by an appropriate number of teachers/adults. We recommend a one adult per 16 pupils
  • The behavior of pupils attending an event is the responsibility of the accompanying teachers/adults and that they should take appropriate action to restrict unacceptable behavior
  • Those venues hosting events attended by schools should ensure the above is communicated to the teachers/adults prior to the event.

6. Insurance

Professor Bubbleworks is covered by £10 million employer’s liability insurance and £5 million public liability insurance.

7. Payment terms

School Events payments shall be made upon invoice which is issued when a booking has been confirmed.

  • For advanced bookings (1 month in advance) our payment terms are 28 days from the date of the invoice.
  • If the booking falls within 28 days of being made, payment is to be made immediately following the invoice.
  • Electronic payment is requested wherever possible but payment may also be made by cheque.
  • All payments must be in pounds Sterling, and currency conversion costs must be met by the client.

The information required for electronic payment will be supplied by Professor Bubbleworks on the invoice sent to you. Overdue invoices may attract interest charges applicable on the day that the invoice becomes overdue. Please note, we understand and will exercise our statutory right to interest and compensation for debt recovery costs under current late payment legislation if we are not paid according to agreed credit terms. 8. Cancellation terms if cancelled by customer

Cancellation of services with:

0 – 10 working days’ notice of the confirmed date will require full payment of fees plus any costs incurred in advance due to the booking (accommodation, advance purchase travel etc.)

11– 30 working days’ notice of the confirmed date we will issue a 50% refund minus any costs incurred in advance due to the booking
(accommodation, advance purchase travel etc.)

31+ working days’ notice of the confirmed date will result in full refund, but just any costs incurred in advance related to the booking (accommodation, advance purchase travel etc.)

These cancellation charges may be waived at the discretion of Professor Bubbleworks depending on the circumstances surrounding the cancellation.

9. Promotion and Intellectual Property Rights

Intellectual property rights remain with Professor Bubbleworks on all original work produced for the contract, unless agreed otherwise in writing. Professor Bubbleworks material produced for the contract cannot be sold on to third parties without written permission from Professor Bubbleworks reserves the right to use any material produced for the contract for its own promotional needs (e.g. press, web, photography, or other media). Professor Bubbleworks reserves the right to provide promotional materials to the audience as part of any of its events or visits.

10. Delivery

Whilst all reasonable steps will be taken by Professor Bubbleworks to ensure that delivery times agreed for goods or services are met this may not always be possible due to circumstances outside Professor Bubbleworks’ control, or due to technical difficulties unforeseen at the time of ordering. Professor Bubbleworks will not accept any liability arising out of delayed or non-delivery due to:

a) Acts of aggression by foreign powers, acts of terrorism, civil unrest or commotion, industrial action, criminal activity, accidents involving the release of radioactive material, road, rail, air or shipping accidents or damage to or the destruction of Professor Bubbleworks property and equipment by any means whatsoever.
b) Extreme weather events such as earthquakes, flooding, storms, snowing, etc.
c) The death, injury or illness of any principal, partner or employee of Professor Bubbleworks or the death, injury or illness of any close relative of any principal, partner or employee of Professor Bubbleworks
d) Non-receipt of any payments in advance that have been agreed by the client
e) Late or non-delivery by suppliers or subcontractors.
f) Failure of clients (or any agent or subcontractor of a client) to provide information or materials required for the completion of any work by Professor Bubbleworks, or the late delivery of any such information or materials.
g) The non-availability of materials, sub-assemblies or components required by Professor Bubbleworks to complete any project.
h) Any other cause out of the control of Professor Bubbleworks and not specified above.

Cancellation of show delivery or project work by Professor Bubbleworks

In the event of cancellation or non-delivery caused by any of the above, we will first endeavour to rearrange delivery at a mutually convenient time to both parties.
In the event of cancellation or non-delivery caused by reasons not outlined above, or if a mutually convenient date cannot be arranged for delivery then Professor Bubbleworks will return any customer payments made in relation to the aspect of the work that has not been done.

11. LOSS OR DAMAGE SUFFERED BY YOU

We are responsible to you for foreseeable loss and damage caused by us. If we fail to comply with these terms, we are responsible for loss or damage you suffer that is a foreseeable result of our breaking this contract or our failing to use reasonable care and skill, but we are not responsible for any loss or damage that is not foreseeable. Loss or damage is foreseeable if either it is obvious that it will happen or if, at the time the contract was made, both we and you knew it might happen, for example, if you discussed it with us during the sales process.

We do not exclude or limit in any way our liability to you where it would be unlawful to do so. This includes liability for death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors; for fraud or fraudulent misrepresentation; for breach of your legal rights in relation to the products including the right to receive products which are: as described and match information we provided to you and any sample or model seen or examined by you; of satisfactory quality; fit for any particular purpose made known to us; supplied with reasonable skill and care and, where installed by us, correctly installed; and for defective products under the Consumer Protection Act 1987.

When we are liable for damage to your property. If we are providing services on your property, we will make good any damage to your property caused by us while doing so. However, we are not responsible for the cost of repairing any pre-existing faults or damage to your property that we discover while providing the services.
We are not liable for business losses. We only supply the products for domestic and private use. If you use the products for any commercial, business or resale purpose we will have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity.
